Such agreements (including Master Lease Agreements, Purchase and Sale Agreements, or Development Management Agreements) must be signed by authorized corporate officers of United Data Centers LLC and the respective property owner, REIT, or institutional counterparty. United Data Centers LLC disclaims all liability for business expectations, capital commitments, or purported losses based on informational text, site metrics, or prospective correspondence displayed on this Site.

2. INTELLECTUAL PROPERTY AND BRAND MARKS
All content, page architecture, visual designs, graphic layouts, vector assets, data sheets, text, code, and technical diagrams featured on this Site are the proprietary intellectual property of United Data Centers LLC or its licensors, protected under United States and international copyright, trademark, trade dress, and unfair competition laws.

3. PROHIBITED ACTIVITIES AND SITE USE
You are granted a limited, non-exclusive, non-transferable, and revocable license to access the Site strictly for legitimate business evaluation and commercial submission purposes. You agree not to:

Deceptive Submissions: Submit fraudulent, inaccurate, or bad-faith property specifications, inflated utility capacities, unauthorized real estate listings, or misleading contact information through our RFP and landlord portals.
Malicious Interference: Introduce, deploy, or transmit any viruses, worms, Trojan horses, logic bombs, or malicious code designed to disrupt, degrade, or compromise Site security or backend infrastructure.
Data Harvesting & Scraping: Use any automated spider, crawler, scraper, robot, script, or indexer to extract directory data, property criteria, proprietary engineering standards, or Site layout elements.
Reverse Engineering: Attempt to decompile, reverse-engineer, disassemble, or decode any underlying software, form frameworks, or structural components of the Site.
Unauthorized Framing & Linking: Frame this Site, create hyperlinks suggesting false sponsorship or corporate endorsement by United Data Centers LLC, or utilize metadata/meta-tags containing the United Data Centers mark without prior written authorization.

THIS LIMITATION APPLIES TO ALL:

Indirect, incidental, special, exemplary, punitive, or consequential damages.
Loss of real estate profits, lost leasing opportunities, facility downtime, loss of data, loss of business goodwill, or commercial interruptions.

THIS LIMITATION APPLIES REGARDLESS OF THE LEGAL THEORY (WHETHER IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE), EVEN IF UNITED DATA CENTERS LLC HAS BEEN EXPRESSLY ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL THE CUMULATIVE AGGREGATE LIABILITY OF UNITED DATA CENTERS LLC FOR ALL CLAIMS RELATING DIRECTLY TO YOUR ACCESS AND USE OF THE PUBLIC SITE EXCEED USD $100.00.

7. INDEMNIFICATION
You agree to defend, indemnify, and hold harmless United Data Centers LLC, its corporate affiliates, managing members, directors, officers, employees, and authorized representatives from and against any and all claims, liabilities, losses, judgments, damages, costs, and expenses (including reasonable attorneys’ fees and court expenses) arising out of or related to:

Your breach or violation of these Terms;
Your misuse of the Site; or
False, unauthorized, or deceptive property listings or specifications submitted through our communication forms.

8. GOVERNING LAW AND VENUE
These Terms, and all claims, controversies, or disputes arising out of or relating to your use of this Site, shall be governed by, construed, and enforced in accordance with the substantive laws of the State of New York, without giving effect to any principles of conflicts of law.

Any legal suit, action, or proceeding arising out of or relating to these Terms or the Site must be instituted exclusively in the state or federal courts situated in Queens County or New York County, State of New York. You irrevocably submit and consent to the exclusive personal jurisdiction of such courts and waive any objection based on improper venue or forum non convenience.

9. SEVERABILITY AND ENTIRE AGREEMENT
If any provision of these Terms is determined by a court of competent jurisdiction to be invalid, unlawful, or unenforceable, that specific provision shall be severed from the remainder of these Terms, and all remaining provisions shall remain valid and enforceable to the fullest extent permitted by law.

These Terms, together with our Privacy Policy, represent the complete and unified understanding between you and United Data Centers LLC regarding the use of this public Site, superseding all prior discussions, drafts, or oral representations.
